Reseller Terms

1. Discount Structure
edelkrone applies a dynamic discount rate, determined by the reseller's daily sales performance relative to their calculated targets.
1.1. Performance Zones & Sliding Scale Our system uses a linear sliding scale, meaning discounts are not limited to fixed tiers but scale proportionately based on performance.
● High Performance Zone (30% - 40%): Resellers whose new daily average falls between their "Maintenance Level" and "Growth Target" earn a discount ranging mathematically between 30% and 40%. Meeting the full growth target secures the maximum 40%.
● Standard Performance (30%): Granted to resellers who maintain their sales volume consistent with their established baseline (Market Capacity or Previous Year Average).
● Low Performance (20%): Applied if the reseller's daily average falls significantly below their established baseline (outside the tolerance margin).
1.2. Calculation Methodology Performance targets are calculated dynamically for each reseller based on their Last Year's Daily Average and the Market Capacity of their specific territory. The discount rate for each specific order is determined by simulating how that new order affects the reseller's "Current Daily Average" for the year.

1.3. New Resellers In the absence of historical data, new resellers are assigned a "Provisional Baseline" derived directly from the Market Capacity of their specific territory. This ensures that entry-level targets are realistic and proportionate to the local market size.
2. Shipping and Customs
2.1. Free Shipping Eligibility Resellers qualify for Free Shipping when the Gross Total (Pre-Discount Value) of a single order reaches 10,000 USD or more. Note: This threshold is based on the total Recommended Retail Price (RRP) of the items in the cart, not the final net payable amount after the discount is applied.
2.2. Shipping Costs Shipping fees apply to all orders where the Gross Total is under 10,000 USD.
2.3. Delivery Terms All shipments are sent under DAP (Delivered At Place) terms. Resellers are solely responsible for any applicable customs duties, import fees, or local taxes.
2.4. Lead Times Orders for in-stock items are generally shipped within 1 week.
3. Pricing and Promotions
3.1. Recommended Retail Price (RRP) edelkrone publishes an RRP list. However, resellers are free to determine their final resale prices based on their own commercial strategies.
3.2. Reimbursement Support We provide financial support (reimbursement of 50% of the discount provided to the end-user) for reseller-organized campaigns, strictly under the following conditions:
● Condition: The campaign must not exceed the discount rates or frequency of offers found on edelkrone.com.
● Exclusion: Permanent discounts exceeding our "Rewards Club" benefits are not eligible.
● Process: Claims must be documented and submitted to edelkrone for approval.
4. Ordering and Payment
4.1. Draft Order Process To ensure the correct performance-based discount is applied, the ordering process is as follows:
● Step 1 (Draft): Orders are submitted via the portal as a "Draft Order." This view defaults to the standard end-user price. [edelkrone price list]
● Step 2 (Validation): The edelkrone CRM Team reviews the draft order. Using the Reseller Discount Calculator, the specific applicable discount rate (calculated precisely between 20% and 40%) is applied based on the criteria in Section 1.
● Step 3 (Finalization): The finalized Purchase Order (PO) with the correct discount is presented to the reseller for confirmation.
● Step 4 (Payment): Upon approval, the finalized order is ready for payment. Resellers may complete the payment directly on our website via Credit Card or proceed with a Bank Wire transfer. [Our Bank Wire information]
4.2. Fees All bank transfer commissions and transaction fees are the responsibility of the reseller.
4.3. Price ProtectionPrice protection is provided for products held in stock for less than one month in the event of a permanent official price drop.
5. Demo Products
Resellers may request demo units if the total value of demos held is under 5% of their total purchase volume in the last 12 months. Proof of display is required.
6. Content and Marketing
Resellers are authorized to use, re-edit, and repurpose official edelkrone content for their marketing channels.
7. Warranty
Standard warranty support (repair/exchange) is provided for products under warranty. Paid repair services are available for out-of-warranty items.
8. Website Listing
Priority listing on the edelkrone website ("Where to Buy") is reserved for resellers who maintain High Performance (40% zone) status.
9. Authorized Territory
Resellers are authorized to market and promote edelkrone products within the country where they are registered. To protect the global distribution network, active sales efforts (e.g., targeted digital advertising, local solicitation) directed at customers outside of this designated territory are prohibited. Note: Within the European Economic Area (EEA), this restriction applies only to active sales; passive sales (unsolicited orders) are permitted in accordance with local regulations.
10. Advertising Restrictions
Resellers are prohibited from bidding on the keyword "edelkrone" or specific product names in paid search engine advertising (e.g., Google Ads).
11. Termination
● Amendments: We reserve the right to update these terms.
● Termination: Either party may end the relationship at any time. No refunds are issued for stock, but warranty obligations remain valid.
